What Is an Escalation Clause and Should I Use One in San Diego?

What Is an Escalation Clause?

An escalation clause is a provision in your purchase offer that automatically increases your bid above any competing offers up to a maximum price you specify. Instead of guessing what other buyers will offer, the clause escalates your price incrementally above the highest competing offer — giving you the best chance of winning without blindly overbidding.

How an Escalation Clause Works

A typical escalation clause might read: 'Buyer offers $780,000 with an escalation of $2,000 above any bona fide competing offer, up to a maximum purchase price of $820,000.' If a competing offer comes in at $790,000, your price automatically escalates to $792,000. If no competing offers exist, you purchase at your base price of $780,000.

When Escalation Clauses Make Sense in San Diego

  • When you know multiple offers are expected but do not know the competing prices
  • When you have a clear maximum price and want to bid efficiently up to that limit
  • When you want to avoid the emotional pressure of a highest-and-best deadline
  • When the listing agent has confirmed that escalation clauses are acceptable — not all sellers accept them

Limitations and Risks of Escalation Clauses

  • The seller must provide proof of the competing offer that triggered the escalation — verify this is required in your clause
  • Some listing agents and sellers refuse escalation clauses as too complicated — always confirm acceptability first
  • Your escalated price must still survive an appraisal — if you escalate to $820,000 and it appraises at $800,000, you face an appraisal gap
  • Escalation clauses reveal your maximum price — sophisticated sellers may use this information to their advantage

Escalation Clauses vs. Highest and Best

Some San Diego listing agents call for highest and best offers rather than accepting escalation clauses. In that scenario, your CMA-backed analysis of what the property is worth and what you are willing to pay becomes the primary guide. Rieder Homes Group advises on the right approach for each specific situation.
